BY PURCHASING, DOWNLOADING, INSTALLING OR OTHERWISE USING THE SOFTWARE MADE AVAILABLE BY PROGRESS THROUGH THIS WEB SITE, YOU ACKNOWLEDGE (1) THAT YOU HAVE READ THIS AGREEMENT, (2) THAT YOU UNDERSTAND IT, (3) THAT YOU AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS, AND (4) TO THE EXTENT YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY, YOU HAVE THE POWER AND AUTHORITY TO BIND THAT COMPANY.

The following terms and conditions (the “Agreement”) govern the use of Progress Telerik Fiddler Classic v.6.0.20261 (the “Software”). This Agreement is intended exclusively for Non-Commercial Users (as defined below). If you are a Commercial User, you are not licensed to use the Software under this Agreement and must instead obtain a license for the applicable Progress commercial product at https://www.telerik.com/fiddler/fiddler-everywhere.

Definitions. For purposes of this Agreement:

“Commercial Use” means any use of the Software (a) by, on behalf of, or for the benefit of any Commercial Entity; (b) in connection with any revenue-generating activity; (c) by any individual acting in the scope of their employment or engagement with a Commercial Entity; or (d) in any environment owned, operated, or controlled by a Commercial Entity. For the avoidance of doubt, use of the Software by an individual developer who is self-employed and does not have employees or contractors, solely for personal skill development or non-revenue-generating open-source projects, does not constitute Commercial Use.

“Commercial Entity” means (1) any entity organized for profit, including any corporation, limited liability company, partnership, or sole proprietorship with employees or contractors, or (2) any government agency or department, or (3) any educational institution using the Software for commercial or other non-educational purposes.

“Non-Commercial User” means (1) an individual natural person who uses the Software solely for personal, educational, or non-revenue-generating purposes and who is not using the Software in the scope of employment or engagement with a Commercial Entity, or (2) non-profit organizations using the software for non-profit, non-commercial purposes.

“Machine” means a single physical or virtual computing device, including but not limited to desktop or laptop computers, virtual machines, cloud-hosted instances, or other emulated environments, whether local or remote.

Automatic Acceptance: By downloading, installing, or using any update, patch, or new version of the Software, you agree to be bound by any modified Terms that accompany the new version of the Software. If you do not agree to the modified Terms, you must cease use of the Software and uninstall it immediately. Your use of the Software following its installation constitutes your irrevocable acceptance of such modifications.

Transition Provision for Existing Users. If, before the Release Date, you have accepted a license for a prior version of the Software and your use of the Software constitutes Commercial Use, you are granted a limited grace period of forty-five (45) days commencing on the Release Date of this version of the Agreement (the “Transition Period”) to either: (a) transition to a commercial license offered by Progress; or (b) cease all use of the Software and uninstall it. For purposes of this provision, notice of the updated Agreement shall be deemed given to all users on the Release Date, which is the date this version is first made available via the Software interface or the official Progress website. During the Transition Period, your continued use of the Software shall not constitute a breach of this Agreement, provided that you are actively pursuing a commercial license or planning your transition. Upon expiration of the Transition Period, any continued Commercial Use of the Software shall constitute a material breach of this Agreement.

License Grant and Scope. Subject to your compliance with this Agreement, and provided that you are a Non-Commercial User, Progress grants you a limited, non-exclusive, non-transferable, revocable, free-of-charge license to install and use the Software solely for personal, non-commercial purposes on one Machine. This license does not extend to, and expressly excludes, any Commercial Use. Any use of the Software for Commercial Use without a separate commercial license agreement with Progress constitutes a material breach of this Agreement and copyright infringement.

Restrictions: You may not: (a) Use the Software for any Commercial Use or in any commercial environment; (b) Use the Software to provide a service to third parties (e.g., hosting, SaaS, or managed services); (c) Embed, integrate, or distribute the Software as part of a commercial product or service; (d) Use the Software in the scope of employment or engagement with a Commercial Entity; (e) Reverse engineer, decompile, or disassemble the Software, except as strictly permitted by mandatory local law; (f) Remove any proprietary notices or labels from the Software; (g) Misrepresent your status as a Non-Commercial User to obtain or maintain access to the Software under this Agreement.

User Verification and Self-Certification. By installing or using the Software, you represent and warrant that you are a Non-Commercial User as defined in this Agreement. Progress reserves the right to verify your eligibility at any time, including by requiring you to provide information regarding your employment status, organizational affiliation, or intended use. If Progress determines, in its reasonable discretion, that you are or have become a Commercial User, Progress may immediately terminate this license and require you to obtain a commercial license or cease use of the Software.

Commercial Licensing. If you are a Commercial User or if your use of the Software constitutes Commercial Use, you must obtain a separate commercial license from Progress. Information about Progress’s commercial offerings, including Telerik Fiddler Everywhere and enterprise licensing options, is available at https://www.telerik.com/fiddler/fiddler-everywhere. Use of the Software under this Agreement does not entitle you to any commercial license, support, or service level agreement.

Termination: This license is effective until terminated by either Parties. Progress may terminate your license immediately, without notice, if you breach any provision of these Terms. Upon termination, you must cease all use and destroy all copies of the Software. You agree that any deinstallation of the Software constitutes termination under this Agreement.

Warranty. Limitation of liability. The Software and any updates to it are provided "as is" and you bear the risk of using it. In no event shall Progress Software Corporation (“Progress”), its affiliates, or its licensors, be liable for any consequential, special, incidental or indirect damages of any kind arising out of the delivery, performance or use of the Software. The Software was written with care, but Progress does not warrant that the Software is error-free. In any case, Progress’ entire liability under any provision of this agreement shall not exceed $5, notwithstanding any failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so this exclusion and limitation may not be applicable. Progress is not responsible for any liability arising out of Licensee’s use of the Software in violation of applicable laws or any third party’s property rights. Any data included in the Software upon shipment from Progress is for testing use only and Progress hereby disclaims any and all liability arising therefrom. The extent of Progress’ liability for the limited warranty section shall be as set forth therein.

Data Collection, Telemetry, and User Segmentation. Progress uses tools to deliver certain Software features and extensions, identify trends and bugs, collect activation information, usage statistics and track other data related to Your use of the Software as further described in the most current version of Progress’ Privacy Policy (located at: https://www.progress.com/legal/privacy-policy). Progress may also collect and process information necessary to determine whether your use qualifies as Non-Commercial Use or Commercial Use, including but not limited to domain information associated with your account, organizational size indicators, and usage patterns. Such processing is conducted in accordance with applicable data protection laws and Progress’ Privacy Policy. By Your acceptance of the terms of this Agreement and/or use of the Software, You authorize the collection, use and disclosure of this data for the purposes provided for in this Agreement and/or the Privacy Policy, including for the purpose of license compliance verification.

Feedback: You may be asked, from time to time, to respond to short survey questions presented within the Software’s user environment. Progress may use your responses to these questions to serve you with targeted advertising content, to improve the Software, and/or for other purposes as described within the Privacy Policy. By your responding to such questions, opting-in to data collection, and/or acceptance of these terms and/or use of the Software, you authorize the collection, use and disclosure of all responses and data for the purposes provided for herein and/or in the Privacy Policy.

Notice and Amendments: Progress reserves the right to modify these Terms at any time. Progress will provide notice of material changes via the Software interface, email (if provided), or the official Progress website at least thirty (30) days before such changes take effect. Your continued use of the Software after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to any modification, you must cease use of the Software and uninstall it before the effective date of the modification.

Export Restrictions: The Software is subject to United States export laws and regulations. You must comply with all domestic and international export laws and regulations that apply to the Software. These laws include restrictions on destinations, end users and end use. You expressly agree not to use, deploy, export or re-export the Software (or any portion thereof) in or to any country, person, entity or end user subject to U.S. export restrictions. You specifically agree not to export, re-export, or transfer the Software to any country to which the U.S. has embargoed or restricted the export of goods or services, including without limitation any country listed in U.S.A. Export Administration Regulation Country Group E-1, or to any national of any such country, wherever located, who intends to transmit or transport the products back to such country, or to any person or entity who has been prohibited from participating in U.S. export transactions by any federal agency of the U.S. government. You warrant and represent that neither the U.S.A. Bureau of Industry and Security, U.S. Department of Commerce, nor any other federal agency has suspended, revoked or denied your export privileges.

Use restrictions: You warrant that your use of this Software is legal and does not violate any law or regulation to which you are subject.

Third-party Software: The Software includes decompression software and other tools provided by third-parties. License terms for these utilities are described in the Notices.txt file in the installation directory.

Support: No technical support is provided with the Software.

Law and jurisdiction: These Terms shall be governed by the laws of the State of Massachusetts, USA, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the federal or state courts located in Boston, Massachusetts.

Entire Agreement and Severability: This Agreement constitutes the entire agreement between you and Progress with respect to the Software and supersedes all prior or contemporaneous understandings, communications, or agreements, written or oral, regarding the Software and hereby revokes any prior revocable licenses of the Software between You and Progress. If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties’ original intent.
